These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “user,” “customer”) and CH Services (“CH Services,” “we,” “us,” or “our”) governing your access to and use of our website at https://chservicesav.com

and any related products, software, tools, installations, consultations, and services we provide (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

SUMMARY OF KEY POINTS

Contracts & Quotes. Estimates are valid for 30 days unless stated otherwise. Scope changes may require a new quote or change order.

Payments & Billing. You agree to pay all fees, taxes, and any late/failed-payment charges. Subscriptions may auto-renew until canceled per the cancellation rules herein.

Scheduling & Cancellations. Appointment windows are estimates. Certain cancellations/reschedules may incur fees.

Acceptable Use. Don’t misuse the Services, interfere with networks/equipment, violate laws, or infringe IP rights.

Warranties & Disclaimers. Services are provided “AS IS” to the fullest extent permitted by law.

Liability Limits. Our total liability is limited as described below; no indirect or consequential damages.

Disputes. These Terms are governed by North Carolina law. Arbitration and a class-action waiver apply as set out below.

SMS & Electronic Consents. You consent to receive messages and electronic communications as described herein and in our Privacy Policy.

Changes. We may update these Terms; continued use after changes means you accept the revised Terms.

1. AGREEMENT TO TERMS

In Short: Using our Services means you accept these Terms.

You represent that you are at least 18 (or the age of majority in your jurisdiction) and have authority to agree to these Terms on behalf of yourself or any organization you represent.

2. CHANGES TO TERMS

In Short: We can update Terms; your continued use = acceptance.

We may modify these Terms from time to time. Changes are effective when posted with the “Last updated” date. Material changes may be highlighted on the site.

3. ELIGIBILITY

In Short: You must be legally able to contract and use the Services lawfully.

You may not use the Services if doing so is prohibited by applicable law or sanctions.

4. ACCOUNT REGISTRATION & SECURITY

In Short: Keep your credentials secure and info accurate.

If you create an account, you’re responsible for all activities under it and for promptly updating inaccurate info and notifying us of suspected compromise.

5. SCOPE OF SERVICES

In Short: We provide audio/video, security, smart-home, and related professional Services as described on our site and in your quote or order.

Deliverables, timelines, and dependencies are defined in written estimates, statements of work, work orders, or invoices (collectively, “Order Documents”).

6. QUOTES, ESTIMATES & CHANGE ORDERS

In Short: Estimates expire and scope changes require written approval.

Estimates are typically valid 30 days. Any additions, unforeseen conditions, or customer-requested changes may require a written change order with adjusted pricing/timeline.

7. PRICING, FEES, TAXES & PAYMENT TERMS

In Short: You agree to pay all fees, taxes, and charges.

Invoices. Due per the Order Documents (e.g., deposit, milestone, or Net terms).

Late/Failed Payments. May incur fees, finance charges, collection costs, chargeback fees, and suspension of Services.

Title & Risk. Title to goods may pass upon full payment; risk of loss passes at delivery/installation as specified in Order Documents.

Chargebacks. Unfounded chargebacks may be contested; you’re responsible for related costs if the bank resolves in our favor.

8. SUBSCRIPTIONS, AUTO-RENEWAL & CANCELLATION

In Short: Subscriptions auto-renew unless you cancel per policy.

If you enroll in a subscription (e.g., monitoring, maintenance, or software), it will auto-renew at the then-current price unless canceled before the renewal deadline stated in your plan. Prorations, refunds, or early termination fees (if any) are defined in your plan.

9. SCHEDULING, ACCESS & SITE CONDITIONS

In Short: Provide safe access; dates are estimates.

You must ensure site readiness (power, internet, clear access, permits). Appointment times are good-faith estimates. If we’re unable to perform due to site conditions or lack of access, we may charge a trip or reschedule fee.

10. CUSTOMER RESPONSIBILITIES

In Short: Be available, decide promptly, safeguard equipment, and follow instructions.

You’ll provide a primary contact, timely decisions, and secure any equipment we install. You’re responsible for data backup and for maintaining any credentials we provide.

11. THIRD-PARTY SERVICES (INCLUDING STRIPE & SQUARE)

In Short: Payments may be processed by third parties you also agree to.

We may use Stripe or Square (or others) for payment processing. Your use of those services is subject to their terms and privacy notices. See our Privacy Policy for the current providers. (Your Privacy Policy references Stripe and Square.)

12. SOFTWARE & AI-POWERED FEATURES

In Short: We may offer tools using AI/ML; you will use them responsibly.

We may provide AI-assisted features (e.g., bots, autom automations). You remain responsible for your prompts, inputs, and compliance with law. We may set usage limits, guardrails, or suspend misuse. (Your Privacy Policy also references AI products.)

13. ACCEPTABLE USE & PROHIBITED ACTIVITIES

In Short: Don’t break laws or harm networks, data, or people.

You will not: (a) copy, tamper with, reverse-engineer, or circumvent security; (b) access without authorization; (c) transmit malware; (d) infringe IP, privacy, or publicity rights; (e) violate export, safety, or surveillance laws; (f) use Services for harassment, stalking, dangerous or unlawful monitoring; or (g) interfere with networks/devices.

14. USER CONTENT & FEEDBACK

In Short: You own your content; you give us a license to use it to operate Services.

By submitting content (e.g., reviews, media, instructions), you grant us a non-exclusive, worldwide, royalty-free license to use, host, reproduce, and display it to provide and improve the Services. You warrant you have rights to submit it and it’s lawful.

15. INTELLECTUAL PROPERTY

In Short: We own our IP; you get limited rights to use the Services.

All CH Services trademarks, logos, software, documentation, and site content are owned by us or our licensors. No rights are granted except as expressly stated.

16. CONFIDENTIALITY

In Short: Each party will protect the other’s confidential information.

This excludes information that is public, independently developed, or rightly received without duty. Compelled disclosure is permitted with notice where lawful.

17. WARRANTY DISCLAIMER

In Short: Services are provided “AS IS/AS AVAILABLE.”

To the fullest extent permitted by law, we disclaim all warranties (express or implied), including merchantability, fitness for a particular purpose, and non-infringement. Installed hardware may be covered by the manufacturer’s warranty only.

18. LIMITATION OF LIABILITY

In Short: Our liability is limited.

To the maximum extent allowed, we are not liable for indirect, incidental, special, consequential, punitive, or lost-profit damages. Our aggregate liability for all claims will not exceed the amounts you paid to us for the specific Service giving rise to the claim in the 6 months preceding the event.

19. INDEMNIFICATION

In Short: You’ll cover us for losses arising from your misuse or violations.

You agree to defend, indemnify, and hold harmless CH Services and its personnel from claims and costs arising from your content, misuse, or breach of these Terms or applicable law.

20. TERMINATION & SUSPENSION

In Short: We can suspend or terminate for cause; you can cancel per your plan.

We may suspend or terminate for breach, non-payment, or risk to our systems/customers. Upon termination, your right to use the Services ceases; sections that by nature should survive will survive.

21. GOVERNING LAW

In Short: North Carolina law governs (without conflict-of-law rules).

Venue for non-arbitrable claims lies in state/federal courts located in Guilford/Forsyth County, North Carolina.

22. DISPUTE RESOLUTION; ARBITRATION; CLASS-ACTION WAIVER

In Short: Individual arbitration; no class actions or jury trials.

Informal Resolution. Contact us first to try to resolve.

Binding Arbitration. Any dispute arising out of these Terms or the Services shall be resolved by final, binding arbitration administered by JAMS (or AAA if JAMS unavailable), with one arbitrator, under its consumer/commercial rules, in Greensboro, NC, unless both parties agree to remote proceedings.

Waivers. You and we waive class/collective actions and jury trials.

Injunctive Relief. Either party may seek temporary injunctive relief in court to protect IP or confidential information.

23. ELECTRONIC COMMUNICATIONS; E-SIGN CONSENT

In Short: You consent to electronic records, signatures, and notices.

You agree we may send agreements, invoices, and notices electronically and that your electronic actions constitute signatures.

24. SMS/MOBILE TERMS

In Short: You consent to receive SMS related to appointments, services, and (if opted-in) promotions; message/data rates may apply; reply STOP to opt out.

Operational and promotional messages may be sent to numbers you provide or verify. No mobile information is shared with third parties for marketing/promotional purposes; sharing to subcontractors in support services is permitted. (This mirrors the privacy-policy treatment of mobile information and use-case examples.)

25. SERVICE-SPECIFIC TERMS (INSTALLS, CUSTOM WORK, RETURNS)

In Short: Installed/custom items may be non-returnable after installation.

Custom Work. Custom cables, programming, and bespoke configurations are non-cancelable once work begins.

Returns. New, unopened items may be returned within the period and restocking fees stated in your Order Documents.

Site Damage & Existing Defects. We are not responsible for pre-existing conditions or code violations discovered during work; remediation may require a change order.

26. FORCE MAJEURE

In Short: We’re not liable for delays beyond our reasonable control.

Including but not limited to supply-chain disruptions, labor issues, acts of God, government actions, and utility or network outages.

27. INTERNATIONAL USE

In Short: You’re responsible for compliance where you use the Services.

We make no representation the Services are appropriate outside the United States.

28. MISCELLANEOUS (ENTIRE AGREEMENT, SEVERABILITY, ASSIGNMENT)

In Short: These Terms are the entire agreement.

If any provision is unenforceable, the rest remains effective. You may not assign without our consent; we may assign in connection with a reorganization or sale of assets. No waiver is implied by delay or omission.
